Terms of service

OVERVIEW

This website is operated by RoseauxClayCo. Throughout the site, the terms “we,” “us,” and “our” refer to RoseauxClayCo. RoseauxClayCo offers this website, including all information, tools, products, digital products, and services available from this site to you, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by these Terms of Service (“Terms”), including any additional terms and policies referenced herein or made available through the site. These Terms apply to all users of the site, including browsers, customers, merchants, and contributors of content.

Please read these Terms carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms. If you do not agree to these Terms, you should not access the website or use the Services.

Any new features, products, or tools added to the store will also be subject to these Terms. We may update or change these Terms from time to time by posting the revised version on this page. Your continued use of the website after changes are posted constitutes acceptance of those changes to the extent permitted by applicable law.

Our store is hosted by Shopify, which provides the ecommerce platform that allows us to sell our products and Services to you.

SECTION 1 — ONLINE STORE TERMS

By agreeing to these Terms, you represent that you are at least the age of majority in your jurisdiction of residence, or that you are the age of majority in your jurisdiction and have given consent for any minor dependents under your care to use this site where permitted by law.

You may not use our products or Services for any illegal or unauthorized purpose, nor may you violate any applicable laws in your use of the Services, including applicable intellectual property laws.

You must not transmit worms, viruses, malicious code, or other destructive material.

A breach or violation of these Terms may result in termination of your access to the Services where permitted by applicable law.

SECTION 2 — GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any lawful reason at any time, subject to applicable law.

You understand that content you submit, excluding payment information, may be transferred unencrypted and may involve transmissions over various networks and technical changes required to connect to different devices or systems. Payment information is encrypted during transmission over networks as required by our payment service providers.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, access to the Services, or content available through the website except as expressly permitted by these Terms or with our prior written permission.

Headings used in these Terms are included for convenience only and do not limit or otherwise affect these Terms.

SECTION 3 — ACCURACY, COMPLETENESS, AND TIMELINESS OF INFORMATION

We make reasonable efforts to provide accurate and current information on this site. However, information made available on the site may occasionally contain errors, omissions, or outdated information.

Any reliance on information on this site is at your own risk, except where otherwise provided by applicable law.

We reserve the right to modify the contents of this site at any time, but we are not obligated to update information except where required by law.

SECTION 4 — MODIFICATIONS TO SERVICES AND PRICES

Prices for our products are subject to change without notice.

We reserve the right to modify or discontinue products, Services, features, or content at any time, subject to applicable law and without affecting orders or rights that have already arisen under applicable law.

We will not be liable for modifications, price changes, suspension, or discontinuance of Services except where liability cannot lawfully be excluded.

SECTION 5 — PRODUCTS, ORDERS, CANCELLATIONS, AND RETURNS

Certain products or Services may be available exclusively online through the website. Product availability may be limited.

We make reasonable efforts to display product colors, images, dimensions, and other details as accurately as possible. However, the appearance of colors may vary depending on your device or display settings.

Most of our physical products are made to order.

For orders that are not subject to a mandatory statutory cancellation or withdrawal right, cancellation requests must be submitted within 2 hours of placing the order. Once this 2-hour cancellation window has passed, the order can no longer be canceled for change-of-mind reasons.

We do not generally accept voluntary returns or exchanges for change-of-mind reasons, except where otherwise stated in our Refund Policy or required by applicable law.

Customers may have additional mandatory rights under the laws applicable to them. Nothing in these Terms or our Refund Policy is intended to exclude, restrict, or waive any consumer right that cannot lawfully be excluded, restricted, or waived.

For consumers who are entitled to a statutory right of withdrawal, including eligible consumers in the European Union, applicable withdrawal rights will be honored in accordance with applicable law. Certain products or transactions may be exempt from statutory withdrawal rights where permitted by law.

Damaged products, lost packages, refunds, replacements, and other eligible order issues are handled in accordance with our Refund Policy.

We reserve the right to limit quantities, discontinue products, or refuse or cancel orders where permitted by applicable law, including in cases involving suspected fraud, pricing or listing errors, unauthorized resale activity, or misuse of the Services.

SECTION 6 — DIGITAL PRODUCTS AND STL FILE LICENSE

Certain products offered by RoseauxClayCo are digital products, including downloadable STL files.

Digital products are licensed, not sold, except to the extent otherwise required by applicable law. Purchasing a digital product does not transfer ownership of the underlying design, copyright, trademark, or other intellectual property rights.

Subject to these Terms, purchasing a RoseauxClayCo STL file grants you a limited, non-exclusive, non-transferable license to download and use the file for your own use.

You may use RoseauxClayCo STL files to create physical cutters for your own use. You may use those cutters to create finished handmade products, including earrings, jewelry, polymer clay creations, and other completed craft items, and you may sell those finished handmade products.

You may not sell, resell, share, sublicense, transfer, distribute, upload, exchange, copy for distribution, or otherwise make any RoseauxClayCo STL file available to another person or business, whether for free or for payment.

You may not sell, resell, distribute, wholesale, or otherwise commercially supply physical cutters created from RoseauxClayCo STL files.

These restrictions apply to the original STL files as well as files that have been modified, converted, adapted, resized, or otherwise altered from RoseauxClayCo STL files. Modification of a digital file does not transfer ownership of the underlying design or remove the restrictions contained in this license.

You may not claim RoseauxClayCo digital designs as your own, register or attempt to register our designs or substantially identical versions as your own intellectual property, or use our digital files in a manner that infringes or misappropriates our intellectual property rights.

Due to the digital nature of downloadable products, digital product sales are generally final once the files have been delivered or made available for download, except where otherwise required by applicable law.

Where applicable law provides a statutory withdrawal right for digital content, any waiver or loss of that right will apply only where the legal requirements for such waiver or loss have been satisfied. Nothing in these Terms is intended to remove a statutory withdrawal or refund right where the applicable legal requirements for doing so have not been met.

If you experience an issue accessing or downloading your files, please contact us for assistance.

We reserve the right to terminate a digital product license where permitted by law if these license terms are materially violated. Provisions concerning intellectual property ownership, redistribution, and prohibited commercial use will survive termination of the license.

SECTION 7 — BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse or cancel an order where permitted by applicable law. We may limit or cancel quantities purchased per person, household, account, payment method, billing address, shipping address, or order.

If we make a change to or cancel an order, we may attempt to notify you using the email address, billing address, phone number, or other contact information provided with the order.

You agree to provide current, complete, and accurate purchase and account information and to promptly update your information when necessary so that we can complete transactions and contact you as needed.

Wholesale and reseller relationships may be available with our approval. Placing a standard retail order does not, by itself, create an authorized wholesale, reseller, distributor, or other commercial relationship with RoseauxClayCo.

SECTION 8 — OPTIONAL AND THIRD-PARTY TOOLS

We may provide access to tools, features, or services provided by third parties that we do not control.

Your use of third-party tools may also be subject to the terms and privacy policies of the applicable third-party provider.

To the extent permitted by law, we provide access to such third-party tools without warranties regarding their availability or performance.

SECTION 9 — THIRD-PARTY LINKS

Certain content, products, or Services available through our site may include materials or links from third parties.

Third-party links may direct you to websites that are not affiliated with us. We are not responsible for examining or evaluating third-party websites or their content and do not warrant their accuracy, availability, or practices.

Your use of third-party websites is subject to the terms and policies of those third parties. Please review their policies before engaging in transactions with them.

Nothing in this section excludes liability that cannot lawfully be excluded.

SECTION 10 — USER COMMENTS, FEEDBACK, AND OTHER SUBMISSIONS

If you submit comments, reviews, suggestions, ideas, photographs, feedback, or other materials to us, you represent that you have the right to provide that content and that it does not violate the rights of any third party or applicable law.

You agree that we may use feedback and suggestions you voluntarily submit to us for legitimate business purposes, including improving our products and Services, subject to applicable law and our Privacy Policy.

You may not submit unlawful, abusive, defamatory, obscene, misleading, malicious, or infringing content, or content containing malware or other harmful code.

We may remove content that we reasonably determine violates these Terms or applicable law, where permitted.

SECTION 11 — PERSONAL INFORMATION

Your submission of personal information through the store is governed by our Privacy Policy.

Please review our Privacy Policy for information about how we collect, use, disclose, and otherwise process personal information and the rights and choices that may be available to you.

SECTION 12 — ERRORS, INACCURACIES, AND OMISSIONS

Occasionally there may be information on our site or in the Services that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, availability, or other information.

Where permitted by applicable law, we reserve the right to correct errors, inaccuracies, or omissions and to update information or cancel affected orders if information is inaccurate.

Nothing in this section limits rights that customers may have under applicable consumer protection law.

SECTION 13 — PROHIBITED USES

In addition to other prohibitions set forth in these Terms, you are prohibited from using the site, Services, products, or content:

(a) for any unlawful purpose;

(b) to solicit others to perform or participate in unlawful acts;

(c) to violate applicable laws, regulations, or legal requirements;

(d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others;

(e) to harass, abuse, insult, harm, defame, intimidate, or discriminate unlawfully;

(f) to submit false or misleading information;

(g) to upload or transmit viruses, malicious code, or other harmful technology;

(h) to collect or track the personal information of others unlawfully;

(i) to spam, phish, scrape, crawl, or otherwise interfere with the site or Services in an unauthorized manner;

(j) to circumvent security features or technical restrictions of the Services; or

(k) to use RoseauxClayCo digital files, designs, or other intellectual property in violation of the license terms or restrictions stated in these Terms.

We reserve the right to terminate or restrict access to the Services for violations of these prohibited uses where permitted by applicable law.

SECTION 14 — INTELLECTUAL PROPERTY

Unless otherwise stated, content made available through the Services, including RoseauxClayCo designs, digital files, STL files, product designs, graphics, illustrations, photographs, text, logos, branding, and other original content, is owned by or licensed to RoseauxClayCo and is protected by applicable intellectual property laws.

No purchase of a physical or digital product transfers ownership of RoseauxClayCo intellectual property except as expressly stated in writing.

You may not reproduce, distribute, sell, license, commercially exploit, or create unauthorized derivative commercial products from our protected content except as expressly permitted by these Terms or with our prior written permission.

The limited permission to sell finished handmade products created using cutters produced from legitimately purchased RoseauxClayCo STL files is governed exclusively by the license described in Section 6 and does not grant permission to sell the digital files or physical cutters themselves.

SECTION 15 — DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, the Services and website are provided on an “as is” and “as available” basis, except for warranties, guarantees, or consumer rights that cannot lawfully be excluded.

We do not guarantee that the website or Services will always be uninterrupted, timely, secure, or error-free.

To the fullest extent permitted by applicable law, RoseauxClayCo and its owners, employees, affiliates, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, special, punitive, or consequential damages arising from your use of the Services or products.

Nothing in these Terms excludes, restricts, or limits liability where doing so would be prohibited by applicable law, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where applicable, or mandatory consumer rights.

SECTION 16 — INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless RoseauxClayCo and its affiliates, owners, employees, agents, contractors, licensors, and service providers from third-party claims, liabilities, damages, and reasonable costs arising from your material breach of these Terms, violation of applicable law, or infringement of a third party’s rights.

This section does not apply to the extent that such indemnification would be prohibited or limited by applicable consumer law.

SECTION 17 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law, and the unenforceable portion will be deemed severed from these Terms.

The remaining provisions will remain valid and enforceable to the extent permitted by law.

SECTION 18 — TERMINATION

These Terms remain effective unless terminated by you or us.

You may stop using our Services at any time.

We may suspend or terminate access to the Services where permitted by applicable law if we reasonably believe that you have materially violated these Terms or used the Services unlawfully.

Termination does not affect rights or obligations that arose before termination. Provisions that by their nature should survive termination, including intellectual property and digital license restrictions, will continue to apply.

SECTION 19 — ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Refund Policy, and other policies or notices posted on this site, constitute the agreement between you and us concerning your use of the Services and purchases from the store, subject to any mandatory rights provided by applicable law.

Any ambiguity in the interpretation of these Terms will not be construed against either party solely because that party drafted the Terms.

SECTION 20 — GOVERNING LAW

These Terms of Service and any separate agreements through which we provide Services to you will be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to conflict-of-law principles, except where otherwise required by applicable law.

Nothing in these Terms is intended to deprive consumers of any mandatory rights or protections available under the laws applicable to them that cannot lawfully be waived or limited by contract.

If the consumer protection laws applicable to you provide rights or remedies that are more favorable than a provision of these Terms, those mandatory rights or remedies will apply to the extent required by law.

SECTION 21 — CHANGES TO THESE TERMS

You can review the current version of these Terms of Service at any time on this page.

We reserve the right to update or change these Terms by posting updates to our website. Where applicable law requires additional notice or consent for a change, we will comply with those requirements.

Changes will not retroactively remove rights that have already arisen under applicable law.
